Executive Board


Tasks  and responsibilities

The members of  the Executive Board are jointly responsible for the management of the company, the general state of affairs within the company and the state of affairs within the group companies associated with the company. The tasks  of the Executive Board include:

  • the achievement of the company’s objectives
  • determining the strategy and policy for achieving the objectives
  • the general state of affairs within the company and the company results
  • inventorying and managing the risks associated with the business operations
  • ensuring efficient internal risk management and control systems, reports on which are also included in the annual report
  • taking care of and preparing the financial reporting process
  • the observance and enforcement of legislation and regulations
  • the observance of the company’s corporate governance structure
  • making public, such as via the annual report and on the website, the company’s corporate governance structure and the other information required by the Code
  • the preparation of the annual accounts and the formulation of the company’s annual and important capital investments.   


The Executive Board is accountable in this to the Supervisory Board and to the company’s General Meeting of Shareholders. 


Appointment

The members of the Executive Board  are appointed for a period of four years by the Supervisory Board. The Supervisory Board also has the power to fire or suspend the directors. The Supervisory Board periodically reviews the performance of the Executive Board and draws conclusions from this.

Composition
The Executive Board consists of a number of members as set by the General Meeting of Shareholders. The Executive Board has a chair, who ensures that the Executive Board functions well as a whole.

The Executive Board comprises:

  • H.N.J. (Hans) Smits, President / Chief Executive Officer (CEO) and Chief Commercial Officer (CCO)
  • A.G.F. (André) Toet, Chief Operations Officer (COO)
  • T. (Thessa) Menssen, Chief Financial Officer (CFO)
