Terms of the Dutch Corporate Governance Code
On the first of January 2004, the Port of Rotterdam Authority (Havendrijf Rotterdam N.V.) became a government corporation. The Port Authority endorses the terms of the Dutch Corporate Governance Code and will if relevant and possible compose and execute its policies in conformity with this Code.
Although Port of Rotterdam Authority is not a listed company, the Non-Executive Board plans to implement the Dutch Corporate Governance Code (Code Tabaksblat) where possible. In addition to taking the right approach to transparency and accountability, this implied that we instituted a number of advisory committees within the Non-Executive Board (i.e. an Audit Committee and a Remuneration Committee), developed regulations for the Non-Executive Board and the advisory committees, introduced an information/training programme for members of the Non-Executive Board, and drafted a profile for the Non-Executive Board.
