Supervisory Board
Tasks and responsibilities
The Supervisory Board monitors the management of the company and the general state of affairs at the Port of Rotterdam Authority and associated enterprises, and supports the management in an advisory capacity. The tasks of the Supervisory Board include monitoring and keeping a check on, and advising the board of directors regarding:
- the achievement of the objectives of the Port Authority
- the strategy and risks associated with the business operations
- the design and efficiency of the internal risk management and control systems
- the financial reporting process
- the compliance with legislation and regulations.
In fulfilling its task, the Supervisory Board focuses on the interests of the company and the enterprises associated with it. In this connection, the Board weighs the relevant interests of the parties involved with the company (including the shareholders) against each other. The Supervisory Board itself is responsible for the quality of its performance.

Composition, expertise and independence
The profile of the Supervisory Board describes the size and composition of the Supervisory Board. This takes account of the nature of the company, the work involved and the desired level of expertise, experience and independence of the members of the Supervisory Board. The profile is reviewed annually.
The main aspects of the profile are:
- Business background, preferably in logistics and/or industry
- Affinity with nautical-maritime affairs
- Affinity with corporate financing
- Orientation towards the government (municipality, State, European Union)
- Orientation towards government aspects, such as spatial planning, the environment and employment
- Affinity with and attention for social duty and responsibility of the Port Authority
The Supervisory Board currently consists of the following five members:

Committees
The Supervisory Board has two committees: the audit committee and the remuneration committee. The committees have their own regulations, which describe the rights and obligations of the committee and the best practices (task, composition, meetings, etc.). (Re-)appointment, term of office, retirement
A supervisory director is appointed for a period of four years and can be considered for re-appointment, as stated in the articles of association of the Port of Rotterdam Authority. The term of office may never exceed 3 periods of 4 years, or in other words 12 years.
